NTE (Not to Exceed) is a contract term that sets a maximum price ceiling on a contract, task order, or line item. The contractor cannot bill above the NTE amount without a formal contract modification, even if actual costs exceed the ceiling.
NTE amounts appear frequently in Time & Materials (T&M) and Labor Hour contracts, where the exact scope may be uncertain but the government wants to cap its financial exposure. The NTE ceiling protects the government from runaway costs while giving contractors flexibility in how they execute the work.
Key points for contractors:
- You are financially responsible for any costs above the NTE ceiling unless a modification is approved
- You must notify the Contracting Officer when costs approach the NTE ceiling (typically at 75% and 90%)
- Exceeding the NTE without authorization is an unauthorized commitment — the government is not obligated to pay
- NTE amounts can be increased through contract modifications if the government agrees additional work is needed
